Marrow — Terms of Service

These Terms of Service ("Terms") govern your access to and use of Marrow (the "Service"), a research outreach copilot operated by Vihaan Sharma, an individual operating as a sole proprietorship registered in Ontario, Canada, doing business as "Marrow" (referred to in these Terms as "Marrow," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.


1. Acceptance of Terms

By clicking "Sign up," "I agree," or by otherwise accessing or using the Service, you confirm that:

  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
  • You are at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher).
  • If you are using the Service on behalf of an organization (such as a pre-med club or university), you have the authority to bind that organization to these Terms.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, give you reasonable notice via email or in-app notice. Continued use after the effective date of a change means you accept the revised Terms.


2. Description of the Service

Marrow helps pre-medical and other students find research professors at Canadian and US universities, summarize their published work, and draft personalized outreach emails. Core functions include:

  • A search engine over an indexed list of faculty and lab pages.
  • AI-generated email drafts personalized using your profile, resume, and the matched professor's recent work.
  • An approval queue that requires your explicit approval before any email is sent.
  • Optional integrations (such as Gmail) to copy or send approved drafts.

No autonomous send. Marrow is intentionally designed so that no email is sent without an explicit, deliberate action by you. This is a core product rule.


3. Your Account

3.1 Registration

You must register an account through our authentication provider, Clerk. You must provide accurate, current, and complete information and keep it updated.

3.2 Eligibility

You must be at least 16 years old to use Marrow. The Service is not directed at children under 13, and we do not knowingly collect personal information from them.

3.3 Account Security

You are responsible for all activity that occurs under your account. You agree to:

  • Keep your credentials confidential.
  • Notify us immediately at sharmavihaan190@gmail.com if you suspect unauthorized use.
  • Not share your account with anyone else.

We are not liable for losses caused by unauthorized use of your account that resulted from your failure to maintain its security.


4. Acceptable Use

You agree not to:

  1. Use Marrow to send spam, harassing, deceptive, defamatory, or unlawful messages.
  2. Send bulk, indiscriminate, or non-personalized outreach in violation of applicable anti-spam laws (including Canada's Anti-Spam Legislation (CASL), the US CAN-SPAM Act, and the EU GDPR/ePrivacy rules).
  3. Misrepresent your identity, affiliation, credentials, or relationship with a recipient.
  4. Use the Service to scrape, harvest, or otherwise collect personal data outside of normal product use.
  5. Attempt to bypass the approval-gated send mechanism, rate limits, or any other technical restrictions.
  6. Reverse-engineer, decompile, or otherwise attempt to extract source code or model weights.
  7. Use the Service to violate any third-party rights, including intellectual property, privacy, or contractual rights.
  8. Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
  9. Use the Service to develop a competing product or to train another AI model.
  10. Upload malware, run automated agents, or abuse our infrastructure.

We may suspend or terminate accounts that violate these rules, with or without notice.

4.1 Outreach Content

You are solely responsible for the content of every email you approve and send. AI-generated drafts are starting points, not finished products. You must review every draft for accuracy, tone, and appropriateness before approving. Marrow is not a substitute for your own judgment.

4.2 Compliance with Anti-Spam Laws

You represent and warrant that your outreach complies with all applicable anti-spam laws in the recipient's jurisdiction, including but not limited to CASL, CAN-SPAM, GDPR/ePrivacy, and any institutional policies of the recipient's university or hospital. You agree to honor unsubscribe requests and not to email recipients who have asked you to stop.


5. AI-Generated Content

Marrow uses third-party large language models (currently OpenAI, accessed via the Vercel AI SDK) to draft emails and summarize research. You acknowledge that:

  • AI output may be inaccurate, outdated, or misleading. Always verify cited papers, dates, and claims before sending.
  • Multiple users may receive similar AI output for similar inputs.
  • We do not warrant that AI-generated content is original, accurate, or fit for any particular purpose.
  • You retain full editorial control and final responsibility for any approved draft.

You grant Marrow a non-exclusive, worldwide, royalty-free license to process your inputs (resume, profile, edits, voice samples) solely to provide and improve the Service.


6. Intellectual Property

6.1 Our IP

The Service, including its software, design, branding, copy, and the Marrow trademark, is owned by Vihaan Sharma and his licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

6.2 Your Content

You retain ownership of:

  • Your profile, resume, voice samples, and other inputs ("User Content").
  • The drafts you finalize and approve.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify, and process your User Content solely as necessary to operate the Service. We will not sell your User Content.

6.3 Aggregated Data

We may use de-identified, aggregated data (e.g., professor metadata cached across users, anonymized usage statistics) to improve the Service.

6.4 Feedback

If you provide suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.


7. Third-Party Services

Marrow relies on third-party providers to operate. Your use of the Service is also subject to the terms of these providers when applicable:

  • Clerk — authentication and identity.
  • Convex — database and serverless backend.
  • Stripe — payments and subscription billing.
  • OpenAI (via the Vercel AI SDK) — AI text generation.
  • Firecrawl — web search and scraping.
  • Vercel — hosting and deployment.
  • PostHog — product analytics.
  • Sentry — error monitoring.
  • Google Workspace / Gmail — optional integration to send approved drafts (when enabled).

We are not responsible for the availability, accuracy, or practices of these providers. Outages or changes by them may affect the Service.


8. Subscriptions, Billing, and Refunds

8.1 Plans

Marrow offers a free tier and paid plans (e.g., Applicant, Lab) with different feature limits. Current pricing is shown on our Pricing page and may change with reasonable notice.

8.2 Stripe

Payments are processed by Stripe. By subscribing, you agree to Stripe's Services Agreement and authorize recurring charges to your payment method.

8.3 Recurring Billing

Paid plans renew automatically on a monthly or yearly cycle until you cancel. We will charge your payment method at the start of each billing period.

8.4 Cancellation

You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that period ends.

8.5 Refunds

Except where required by law, payments are non-refundable. We may, at our sole discretion, issue prorated refunds in cases of extended outages or billing errors.

8.6 Taxes

Stated prices do not include applicable taxes (HST, GST, VAT, sales tax). You are responsible for any taxes that apply in your jurisdiction.

8.7 Free Tier and Credits

Free-tier limits (e.g., search and draft credits) may change without notice. We may discontinue the free tier with reasonable notice.


9. Suspension and Termination

9.1 By You

You may terminate your account at any time by deleting it from account settings or contacting sharmavihaan190@gmail.com.

9.2 By Us

We may suspend or terminate your access immediately, with or without notice, if:

  • You materially breach these Terms.
  • Your use creates legal, security, or reputational risk to us or a third party.
  • Required by law or a governmental order.
  • We discontinue the Service.

9.3 Effect of Termination

On termination:

  • Your access ceases.
  • We will delete your User Content within a reasonable period, subject to legal hold and our retention schedule (see the Privacy Policy).
  • Sections that by their nature should survive (IP, disclaimers, limitation of liability, indemnity, governing law) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free.
  • AI-generated drafts will be accurate, original, or appropriate.
  • You will receive replies, interviews, or research offers as a result of using Marrow.
  • Professor data is current or correct.

You are responsible for verifying every claim, citation, and recipient address before sending an email.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT WILL VIHAAN SHARMA, HIS AFFILIATES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR REPUTATION, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability; in those cases, the limitations apply only to the extent permitted.


12. Indemnification

You agree to defend, indemnify, and hold harmless Vihaan Sharma and his agents and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service.
  • Your User Content.
  • Emails you approve and send.
  • Your breach of these Terms or applicable law.
  • Your violation of any third party's rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

Any dispute will be resolved exclusively in the courts located in the Province of Ontario, Canada, and you consent to personal jurisdiction there. If you are a consumer in a jurisdiction with mandatory consumer-protection forums, nothing in this section overrides your rights.

You agree to first attempt informal resolution by emailing sharmavihaan190@gmail.com before filing a formal claim. We will try to respond within thirty (30) days.


14. General

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific addenda, constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

A failure to enforce any provision is not a waiver of our right to do so later.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, internet outages, third-party failures, government actions).

14.6 Notices

We may give notices via email to the address on your account or by posting in the Service. Notices to us must be sent to sharmavihaan190@gmail.com.
